Advising SAICA on three acquisitions in the Netherlands
SAICA Group is one of Europe’s leading manufacturers of recycled paper for corrugated cardboard, with an annual production of more than 2.5 million tonnes of paper and a turnover of EUR 2.57 billion. The 70 year-old family business is headquartered in Spain and employs more than 9000 people across Spain, France, Italy, Portugal, United Kingdom, Ireland, Turkey, Luxembourg, and the Netherlands.
To diversify its activities in paper and paper packaging, SAICA decided to enter the flexible packaging market in 2015 with a buy-and-build strategy. In late 2016, it took decisive steps to enter the Dutch market via the acquisition of packaging companies Schut, Hellema and Lemapack. The three businesses are active in the flexible packaging industry, primarily for the food and tobacco industry, with two manufacturing plants and one international trading location, and a combined turnover of more than EUR 50 million.
As a result of its strong relationships with SAICA and in-depth sector knowledge, NIBC was mandated as the exclusive financial advisor to assist in the search for potential targets in the flexible packaging market in the Benelux, Germany and Poland. In 2016, NIBC’s teams in Industries & Manufacturing and Mergers & Acquisitions advised on the acquisition of the three companies from Flexible Packaging Holding (FPH), in a transaction completed in December.
The acquisition of Schut, Hellema, and Lemapack is the first acquisition for SAICA in the flexible packaging market in the Benelux. During the transaction process, NIBC combined its M&A expertise with its strong relationships with FPH’s owner to complete the transaction within just four months.
The acquisitions have greatly contributed to SAICA’s diversification plans and allowed it to firmly establish itself in the flexible packaging market in Western Europe; a market with long-term development potential.
